Do MFDs Need a National Distributor? How to Run Your MFD Business Independently
A practical guide to the systems, registrations and technology you need to operate independently.

For many new MFDs, this is where the real questions begin: should they work with a national distributor or build and run their business independently?
The short answer: both are viable options. The better choice depends on the kind of business they want to build, the support they need, and how much of the day-to-day work they are prepared to manage themselves.
A national distributor can bring several parts of the business together, while working independently gives MFDs greater control over their setup. So, which approach makes more sense? Let’s break down the differences.

What does working independently mean?
In this article, an independent MFD means a distributor who runs their business under their own AMFI Registration Number (ARN), choosing the services and tools they need rather than relying on a national distributor for the complete operating setup. AMFI stands for the Association of Mutual Funds in India.
Being independent does not mean operating outside the mutual fund ecosystem. Applicable certification, registration, distributor verification, AMC empanelment and compliance requirements still apply.
An independent MFD can use external technology and service providers for different parts of the business. The key difference is that the MFD chooses and coordinates these services based on their own business needs.
What do you need to run independently?
Think of the setup in six broad areas: registration and empanelment, transactions, client management, portfolio information, reports, and communication and investor experience.
Some tools cover more than one part. Others have a specific job. Before selecting software, make sure you know who will handle each responsibility.

1. Registration and empanelment
This is the foundation. Check the requirements that apply to the MFD's business structure and the people involved in distribution:
- NISM certification: the applicable mutual-fund distribution certification from the National Institute of Securities Markets, including renewal requirements.
- AMFI registration: registration of the distributor with AMFI.
- ARN / EUIN: a valid ARN and the applicable Employee Unique Identification Number (EUIN), which identifies the person interacting with the investor for the sale.
- KYD: Know Your Distributor verification as part of registration.
- AMC empanelment: formal approval to distribute the schemes of the relevant Asset Management Company (AMC).
- Ongoing requirements: applicable renewals, declarations and adherence to the distributor Code of Conduct.
Having an ARN does not automatically authorise an MFD to distribute every mutual fund. The MFD must be empanelled with the concerned AMC. See the AMFI references below for current guidance.
Technology cannot replace this layer. A software subscription does not replace registration or empanelment.
2. Transaction infrastructure
Client transactions such as purchases, redemptions, and SIP instructions need a way to be submitted and tracked.
Platforms such as NSE’s mutual fund platform and BSE StAR MF provide this transaction infrastructure. Eligible MFDs can apply to use these platforms, subject to their registration and onboarding requirements. Having an ARN alone does not automatically provide access.
One important distinction: transaction software and business-management software are not the same thing.
A transaction platform may help process a purchase or redemption, but it may not help manage the rest of the client relationship. Similarly, a portfolio-management tool may show client holdings without allowing transactions.
When choosing a setup, an MFD should check what each service covers, how pending or failed transactions are handled, and who provides support when there is a problem.
3. Client management
A useful client list should help answer everyday questions:
- Who are my clients?
- Which clients need attention?
- Whose birthday or anniversary is coming up?
- What goals have I recorded?
- Which clients were recently added?
This is where client relationship management (CRM) or back-office software can help. It brings client details, notes and reminders together, making it easier to keep track of follow-ups without relying entirely on memory.
4. Portfolio information
For client conversations, an MFD may need invested value, current value, fund holdings, transactions and returns in one place.
As the number of clients grows, gathering this information manually becomes harder. Good portfolio software brings these details together, so the MFD can review a client’s portfolio without checking multiple sources.
5. Reports
Seeing a portfolio yourself and explaining it to a client are different needs. Reports turn portfolio data into information a client can easily understand and review.
Useful reports can support client reviews, investment discussions and portfolio summaries. Look for clear formats, dates and figures that match the underlying portfolio data.
6. Communication and marketing
Staying visible requires regular effort. Posters, market updates, educational content and a website or digital profile can help clients recognise your business and stay connected.
Keep the routine manageable: decide what to share, how often and who will review it. Consistent, useful communication matters more than being present on every channel.
All communication must follow applicable AMFI and SEBI requirements. Review claims and disclosures before sharing any material, including content supplied by third parties.
7. Investor experience
What does your client see? Consider how they access portfolio information, view their investments and goals, find reports and contact you.
Make it clear that viewing an investment and placing a transaction are different tasks. Tell clients where to go for each and how to get help when needed.
An independent MFD does not need to build all this technology from scratch. Existing tools can support the client experience; check the access, branding and service options available to clients.
What does a national distributor provide?
A national distributor may offer several services together, including transaction infrastructure, CRM, portfolio management, reports, operational support and investor-facing tools.
The exact package varies, so an MFD should check what is included, what costs extra, what responsibilities remain with the MFD, and how branding and client servicing are handled.
The main difference is simple: a bundled setup gives an MFD convenience, while an independent setup gives more choice. The right option depends on how much control and flexibility the MFD wants over the business.
What does an independent setup cost?
There is no single cost for running an MFD business independently. The total depends on the services and tools an MFD chooses to use.
Costs may come from registration and renewals, transaction infrastructure, CRM and portfolio software, reporting, communication and marketing tools, along with other business and operational expenses.
A national distributor may include several of these services in one arrangement, while an independent MFD can choose them separately. The important question is not just the price of each service, but what the MFD gets for that cost and what work still needs to be handled separately.

Is an ARN enough to start distributing every mutual fund?
No. An ARN is one part of the foundation. You must also be formally empanelled with the concerned AMC and meet the other applicable requirements.
Can an independent MFD use NSE or BSE for transactions?
Eligible independent MFDs can apply to use NSE’s mutual-fund platform or BSE StAR MF, subject to the relevant platform’s registration, approval and onboarding requirements.
Is MFD software the same as a transaction platform?
Not necessarily. MFD software may cover client management, portfolio information, reports and communication. A transaction platform handles transaction requests. Check the scope and integrations of each service.
